NURA Medical Inc. – Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE NUREX SOFTWARE. BY SIGNING THIS AGREEMENT OR CLICKING "I AGREE" OR ACCESSING OR USING OUR WEB OR MOBILE APPLICATIONS, YOU AGREE TO BE BOUND BY THESE TERMS. You also agree to the collection, use, and disclosure of personal information as described in our Privacy Policy, which you must read and accept separately.
This privacy policy details what information we may collect when you browse our website or interact with us, and how it is used by NURA Medical.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of NurEx, the clinical medication support software provided by NURA Medical Inc. ("NURA," "we," "us," or "our"). These Terms form a legally binding agreement between you and NURA.2. Definitions
- "Software" refers to the NurEx web and mobile applications.
- "User" refers to licensed medical professionals (e.g., nurses, doctors) authorized to use the software.
- "Institution" refers to any healthcare facility with a signed enterprise agreement with NURA.
- “Patient” refers to individuals under the care of the user as a licensed medical professional.
- "Free Version" refers to a no-cost version of the Software made available for individual use, which may include limited features, support, or availability. NURA reserves the right to modify or discontinue the Free Version at any time, with advance notice.
- "Paid Version" refers to the full-featured version of the Software made available through institutional licensing. Access to the Paid Version is subject to both the Service Agreement between NURA and the Institution, and these Terms of Service, which govern end-user conduct.
3. Eligibility and Scope
You must be a licensed healthcare professional to use the software. The software is intended for use exclusively in Canada and the United States. Access from other jurisdictions is not authorized and is at your own risk.4. License Grant
Subject to compliance with these Terms, NURA grants you a non-exclusive, non-transferable, revocable license to use the Software for clinical support purposes within your professional scope of practice.5. Acceptable Use
You agree not to:- Use the Software outside your professional scope of practice;
- Rely on the Software for life-critical decisions;
- Reverse-engineer, decompile, or reproduce any part of the Software;
- Use the Software in violation of any applicable law or regulation.
- Use the Sofware to store sensitive information for patients not under your direct care.
6. Payment Terms (For Paid Version)
Access to the Paid Version is governed by a separate Service Agreement between NURA and the Institution, which outlines licensing terms, seat counts, pricing, and termination rights. These Terms of Service apply to all end users accessing the Paid Version under that agreement. NURA reserves the right to convert the Free Version to a paid offering in the future, with reasonable advance notice provided to affected users.7. Clinical Use Disclaimer
NURA Medical’s Software is intended to support, not replace, clinical judgment. We make no representation or warranty that the Software will prevent all medication errors or adverse events. Final responsibility for dosing decisions lies solely with the clinician. NurEx is not a Health Canada-approved medical device and should not be used as a clinical decision-making tool.8. Limitation of Use
The Software is provided "as-is" for informational support only. It should not be used as the sole basis for diagnosing, treating, or preventing any medical condition. Misuse, input errors, or reliance on incomplete data may result in harm for which NURA disclaims liability.9. Limitation of Liability
To the fullest extent permitted by Quebec law:- NURA’s total liability shall not exceed the total fees paid by the Institution in the 12 months preceding the incident.
- NURA shall not be liable for indirect, incidental, special, or consequential damages.
- These limitations do not apply to damages caused by gross negligence or intentional misconduct.
